Effective July 17, 2026. These Terms form a binding agreement between you and ELTEX Labs, the operator identified as ELTEX on the service, checkout, or invoice.
1. Acceptance, eligibility, and authority
By creating an account, clicking an acceptance control, purchasing a product, using an API key, or otherwise accessing the services, you agree to these Terms, the Privacy Notice, the Acceptable Use Policy, and any terms presented at checkout or for a particular model or integration. If you do not agree, do not use the services.
You must be at least 18 years old and legally capable of entering a contract. If you use ELTEX for an organization, you represent that you have authority to bind that organization, and “you” includes that organization. You may not use the services if applicable law prohibits you from doing so.
2. The service and third-party model providers
ELTEX provides capacity-based access to AI routing, model endpoints, media-generation tools, account controls, and related developer interfaces. ELTEX may route a request to an eligible third-party model or infrastructure provider. Models, providers, routes, features, limits, prices, and availability may be added, changed, suspended, or removed.
Third-party models and services are governed by their own licenses, acceptable-use rules, and data practices. You are responsible for determining whether a selected model, provider, and route meet your legal, security, confidentiality, residency, and compliance requirements. ELTEX does not control or guarantee a provider's continued availability, output, training practices, retention, or compliance posture.
No service-level commitment applies unless ELTEX agrees to it in a separate written order or agreement signed by an authorized representative.
3. Accounts, API keys, OAuth, and security
You must provide accurate information, protect passwords, API keys, OAuth grants, and devices, and promptly notify ELTEX of suspected compromise. You are responsible for activity performed through your account and credentials, including activity by employees, contractors, agents, applications, and automated systems you authorize.
Do not share credentials publicly, sell standalone access, evade limits through multiple accounts, or permit access by an unauthorized person. Permissions such as Agent refill can consume stored account benefits. You are responsible for enabling those permissions only for trusted agents and for reviewing their activity.
4. Inputs, outputs, and licenses
You retain any rights you have in text, images, audio, video, code, files, prompts, and other material you submit (“Inputs”). You grant ELTEX a limited, non-exclusive license to host, transmit, reproduce, format, and process Inputs and resulting outputs only as reasonably necessary to provide, secure, troubleshoot, and support the requested service, comply with law, and enforce these Terms.
You represent that you have all rights, notices, consents, and lawful bases required to submit Inputs and permit this processing. Do not submit confidential, regulated, biometric, payment-card, health, government-identifier, or other sensitive information unless the feature expressly supports it and your use is lawful. If media contains another person's face, voice, or likeness, you are responsible for obtaining any required informed consent.
As between you and ELTEX, and to the extent permitted by law, you may use outputs generated for you. Outputs may not be unique, may resemble outputs provided to others, and may not qualify for intellectual-property protection. ELTEX does not transfer rights in any underlying model, provider technology, third-party material, or ELTEX service.
5. Plans, automatic renewal, credits, and refunds
Prices, billing periods, renewal terms, taxes, included capacity, and payment methods are shown at checkout or in your account. If checkout states that a subscription renews automatically, you authorize recurring charges until you cancel. Cancellation takes effect as shown in the billing interface and does not erase charges already incurred.
Capacity credits, Burst Packs, Reset Tickets, Elixir credits, referral rewards, promotional balances, and similar benefits are service entitlements, not money, deposits, stored value, securities, or property. They cannot be transferred, resold, or redeemed for cash unless ELTEX expressly allows it. Their usage order, compatibility, expiry, and plan restrictions are those displayed when issued or in the current product documentation. ELTEX may correct balances created by error, fraud, chargeback, duplicate reward, or abuse.
Except where the checkout expressly states otherwise or applicable law requires otherwise, payments are final and non-refundable, including unused subscription time or capacity. Nothing in these Terms limits mandatory cancellation, refund, cooling-off, or consumer rights that cannot lawfully be waived. Failed, reversed, disputed, or fraudulent payments may result in suspension and reversal of associated benefits.
6. Acceptable use and platform integrity
You must comply with the Acceptable Use Policy, applicable law, sanctions and export controls, provider rules, and documented technical limits. You may not bypass authentication, payment, capacity, rate, safety, or routing controls; probe or disrupt the service without written authorization; introduce malware; scrape protected areas; misrepresent identity or origin; or use ELTEX to provide an unlawful or infringing service.
You are responsible for your end users and for implementing appropriate notices, consent, access controls, monitoring, abuse handling, and safeguards in applications built with ELTEX.
7. AI outputs, high-impact uses, and human review
AI systems can produce inaccurate, incomplete, biased, offensive, insecure, outdated, or fabricated content. Outputs are not professional advice and must not be treated as ELTEX's factual statement or endorsement. You must independently evaluate outputs, test integrations, and apply qualified human review before publication, deployment, or action.
You may not rely on the services as the sole basis for decisions that determine a person's legal rights, access to essential services, employment, housing, credit, insurance, education, medical treatment, or other high-impact outcomes. Safety-critical or regulated use requires your own risk assessment, lawful basis, validation, human oversight, and any required professional review.
8. ELTEX intellectual property and feedback
ELTEX and its licensors own the service, software, interfaces, documentation, designs, trademarks, and related materials. Subject to these Terms, ELTEX grants you a limited, revocable, non-exclusive, non-transferable right to use the services for their intended purpose. No other license is granted. Feedback may be used without restriction or compensation, but ELTEX will not identify you publicly as its source without permission.
9. Beta features, changes, and third-party links
Preview, beta, experimental, or free features may be incomplete, changed, or withdrawn at any time and may have lower reliability or additional terms. ELTEX is not responsible for third-party websites, integrations, payment processors, or services linked from ELTEX. Your use of them is between you and the applicable third party.
10. Suspension, termination, and effect
You may stop using the services and may request account closure. Amounts incurred before closure remain due. ELTEX may restrict, suspend, or terminate access when reasonably necessary to address a Terms violation, non-payment, security or legal risk, provider requirement, abusive activity, service discontinuation, or harm to ELTEX, users, providers, or others.
Where practical and lawful, ELTEX will provide notice and an opportunity to cure. Access may be restricted immediately when delay could increase risk. Provisions concerning payment, content responsibility, intellectual property, disclaimers, indemnity, liability, disputes, and general terms survive termination.
11. Indemnity
To the extent permitted by law, you will defend, indemnify, and hold harmless ELTEX, its affiliates, personnel, and service providers from third-party claims, losses, liabilities, damages, judgments, and reasonable legal costs arising from your Inputs, outputs, products, end users, violation of these Terms or law, infringement of another person's rights, or misuse of the services. ELTEX will provide reasonable notice and may control the defense and settlement, provided no settlement admitting your fault or imposing a non-monetary obligation on you will be entered without your reasonable consent.
12. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES, MODELS, OUTPUTS, AND ALL RELATED MATERIALS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” ELTEX DISCLAIMS EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, SECURITY, AND QUIET ENJOYMENT. ELTEX DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR SUITABLE FOR YOUR USE, OR THAT OUTPUTS WILL BE ACCURATE, UNIQUE, LAWFUL, OR FREE OF THIRD-PARTY RIGHTS.
13. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ELTEX AND ITS AFFILIATES, PERSONNEL, AND PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL, BUSINESS, OR SERVICE INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THEIR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF US$100 OR THE AMOUNT YOU PAID TO ELTEX FOR THE AFFECTED SERVICES DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. These exclusions and caps do not apply where prohibited, including liability that cannot lawfully be limited. Mandatory consumer rights remain unaffected.
14. Disputes and governing rules
Before filing a claim, you and ELTEX agree to make a good-faith effort to resolve it informally for at least 30 days after written notice describing the issue and requested remedy is received at contact@eltexlabs.com. This requirement does not prevent either party from seeking urgent injunctive relief or using a small-claims process where available.
These Terms are governed by the law applicable to the ELTEX contracting entity identified in your checkout or invoice, without overriding mandatory laws that apply to you. Courts with lawful jurisdiction over that contracting entity and dispute may hear claims not resolved informally. ELTEX does not impose an arbitration or class-action waiver through this version of the Terms.
15. Changes and electronic notices
ELTEX may update these Terms to reflect service, provider, legal, security, or business changes. The updated date will be posted here. Material changes will be notified through the service or account email when reasonably required. Changes apply prospectively from their stated effective date. Continued use after that date constitutes acceptance where permitted by law.
You consent to receive service, transaction, security, and legal notices electronically. Marketing communications, if any, will include applicable opt-out controls.
16. General terms and contact
These Terms and incorporated policies are the entire agreement for the standard services unless a signed order or other written agreement says otherwise. If a provision is unenforceable, it will be limited to the minimum extent necessary and the remainder will continue. A failure to enforce a provision is not a waiver. You may not assign these Terms without ELTEX's consent; ELTEX may assign them in connection with a merger, financing, reorganization, or transfer of the relevant business. Neither party is liable for delay caused by events beyond reasonable control.
